Terms of Use

These Terms govern your use of OpenSet, including studio discovery, booking requests, accounts, studio applications, and related communications.

Effective August 20, 2026

By accessing or using OpenSet, creating an account, submitting a studio application, or requesting a booking, you agree to these Terms. If you do not agree, do not use the service.

1. Who we are and what OpenSet does

OpenSet is a marketplace and workflow platform that helps creators, brands, production teams, and independent studios find one another, exchange information, and coordinate booking requests. In these Terms, “OpenSet,” “we,” “us,” and “our” refer to the operator of openset.studio. Our principal operating location is New York, New York, United States.

Studios listed on OpenSet are independent businesses. Unless a page expressly says otherwise, OpenSet does not own, operate, employ, or control a listed studio and is not a party to the studio's performance of production, rental, staffing, or related services.

2. Eligibility and accounts

  • You must be at least 18 years old and able to form a binding contract.
  • If you use OpenSet for a company or other organization, you confirm that you have authority to bind that organization.
  • You must provide accurate information, keep it current, protect your credentials, and notify us promptly of suspected unauthorized access.
  • You are responsible for activity under your account. You may not transfer an account or impersonate another person or business.

3. Studio listings and booking requests

Listing descriptions, availability, pricing, equipment, accessibility, insurance information, photographs, and policies are supplied or approved by independent studios. We may review or format this information, but we do not guarantee that it is complete, current, or suitable for a particular production.

A booking request is not accepted until the studio confirms it. A studio may decline a request, propose changes, require additional information, or apply location-specific rules. The studio's displayed or otherwise communicated rules—including cancellation, overtime, load-in, equipment, guest, insurance, and damage terms—become part of the agreement between the booking customer and that studio.

Users are responsible for confirming that a studio, service, schedule, price, equipment package, insurance arrangement, and access requirements meet their needs before a session begins.

4. Prices, payments, cancellations, and refunds

Prices shown on OpenSet are estimates or studio-provided rates unless expressly identified as final. Applicable taxes, service charges, overtime, add-ons, deposits, and processing fees may be shown later in the request or confirmation process.

OpenSet currently supports request-to-book workflows that may not collect payment at submission. If online payment is offered, it will be processed by a third-party payment provider such as Stripe, and the payment terms shown at checkout will apply. OpenSet does not receive or store complete payment-card numbers.

Cancellation, rescheduling, no-show, damage, and refund rights are governed by the terms disclosed for the applicable studio or booking, together with any mandatory rights under applicable law. Contact the studio and OpenSet promptly if a booking dispute arises.

5. Studio applications and owner access

Submitting a studio application does not guarantee acceptance, publication, leads, bookings, or revenue. We may verify information, request changes, reject an application, suspend review, or decline to publish a listing.

A studio representative must have authority to submit business, policy, pricing, insurance, and media information and to manage the studio's account. The representative grants OpenSet permission to use submitted listing content to evaluate, create, operate, and promote the studio's OpenSet listing.

6. Your content and communications

You retain ownership of content you submit, including reviews, messages, photographs, descriptions, and profile information. You grant OpenSet a worldwide, non-exclusive, royalty-free license to host, reproduce, format, display, distribute, and use that content as reasonably necessary to operate, secure, improve, and promote OpenSet and the relevant listing or booking. This license ends when the content is deleted, except for copies reasonably retained in backups, legal records, completed transactions, or content shared by others.

You represent that you have the rights and permissions needed to submit the content and that it is accurate, lawful, and not misleading. Do not submit confidential information that is unnecessary for the service.

7. Acceptable use

You may not use OpenSet to:

  • violate law, regulation, intellectual-property rights, privacy, or publicity rights;
  • harass, discriminate against, threaten, defraud, or endanger another person;
  • submit false listings, reviews, booking details, insurance claims, or identity information;
  • upload malware, probe security, bypass access controls, scrape at scale, or interfere with the service;
  • use automated systems to create accounts, submit requests, or extract data without written permission;
  • circumvent fees or misuse contact information obtained through OpenSet; or
  • use OpenSet to arrange unlawful, unsafe, or unauthorized productions or activities.

8. Intellectual property

OpenSet and its software, design, text, logos, graphics, and other platform materials are owned by OpenSet or its licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable, revocable right to use the service for its intended purpose. No other rights are granted.

If you provide suggestions or product feedback, you permit us to use them without restriction or compensation, provided we do not publicly identify you without permission.

9. Third-party services

OpenSet relies on third-party services for hosting, authentication, bot protection, communications, storage, maps or location features, and payment processing. Their separate terms and privacy practices may apply. We are not responsible for third-party sites or services that we do not control.

10. Safety, insurance, and independent judgment

Production spaces and activities can involve physical, property, electrical, equipment, crowd, and other risks. Studios are responsible for maintaining their premises, complying with applicable rules, and accurately describing their insurance and safety requirements. Customers are responsible for their people, property, conduct, permits, releases, and insurance appropriate to their production.

OpenSet does not inspect every location, verify every credential, or guarantee safety, accessibility, insurance coverage, equipment condition, or legal compliance. Exercise independent judgment and stop any activity you believe is unsafe or unlawful.

11. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, OPENSET IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, PARTICULAR BOOKING RESULTS, OR THE ACCURACY OR CONDUCT OF A STUDIO OR USER.

Nothing in these Terms excludes warranties or consumer rights that cannot lawfully be excluded.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OPENSET AND ITS OFFICERS, TEAM MEMBERS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR THE ACTS OR OMISSIONS OF A STUDIO OR USER.

Our total liability for claims arising from the service will not exceed the greater of $100 or the amount you paid directly to OpenSet during the 12 months before the event giving rise to the claim. This limit does not apply where prohibited by law or to liability that cannot lawfully be limited.

13. Indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless OpenSet and its officers, team members, and affiliates from third-party claims, losses, and reasonable costs arising from your content, your production or premises, your breach of these Terms, or your violation of another person's rights. This obligation does not apply to the extent a claim was caused by OpenSet's own unlawful conduct.

14. Suspension and termination

We may restrict, suspend, or terminate access; remove content; or pause a listing when reasonably necessary to protect users, enforce these Terms, investigate misuse, comply with law, or protect the service. You may stop using OpenSet at any time and may request account deletion, subject to records we must retain for completed transactions, fraud prevention, disputes, or law.

15. Governing law and disputes

Before filing a legal claim, please send a written description of the dispute to howie@openset.studio and allow 30 days for a good-faith resolution attempt. These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, except where mandatory consumer law provides otherwise. Claims not resolved informally may be brought in the state or federal courts located in New York County, New York, unless applicable law requires another forum. Either party may seek individual relief in an eligible small-claims court.

These Terms do not require arbitration and do not waive rights that cannot be waived under applicable law.

16. Changes and general terms

We may update these Terms as OpenSet changes. We will post the updated date and provide additional notice when a material change reasonably requires it. Changes apply prospectively. If a provision is unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a reorganization, financing, sale, or transfer of the service.

These Terms, the Privacy Policy, the Cookie Notice, and any booking- or studio-specific terms shown to you are the entire agreement for the matters they cover.
